Our services are designed to help Amazon sellers understand their costs, optimise their operations, and improve their business profitability. All services are provided subject to these Terms and any additional service agreements.

User Obligations

When using our website and services, you agree to:

• Provide Accurate Information: Supply truthful, accurate, and complete information about yourself and your business when requested.
• Maintain Confidentiality: Keep any login credentials, access codes, or proprietary information confidential and secure.

Payment Terms

Payment for our services is due according to the terms specified in your service agreement or invoice. Unless otherwise agreed in writing:

• Payment is due within 30 days of invoice date
• All prices are quoted in Euros (EUR) and exclude applicable taxes
• Late payment may result in service suspension and additional charges
• Disputed invoices must be raised within 30 days of invoice date

Service Availability

Whilst we strive to provide uninterrupted access to our website and services, we cannot guarantee continuous availability. Our services may be temporarily unavailable due to:

• Scheduled maintenance and updates
• Technical difficulties or system failures
• Force majeure events beyond our reasonable control
• Security incidents or cyber attacks

• Any interruption or cessation of transmission to or from our services

• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content

Our total liability to you for all damages, losses, and causes of action shall not exceed the amount paid by you to vectronis for the services giving rise to the claim during the twelve months preceding the incident.

Disclaimers

Our services and website are provided on an "as is" and "as available" basis. vectronis makes no warranties, expressed or implied, and hereby disclaims all other warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that our services will be uninterrupted, error-free, or completely secure
• Warranties regarding the accuracy, reliability, or completeness of any content or analysis

Whilst we strive to provide accurate and up-to-date information, Amazon's fee structures and policies change frequently. We recommend verifying all cost calculations and business decisions with current Amazon seller resources and professional advisors.

Indemnification

You agree to indemnify, defend, and hold harmless vectronis AG, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to legal fees) arising from:

• Your use of our services or website
• Your violation of these Terms of Service
• Your violation of any third-party rights, including intellectual property rights
• Any false or misleading information provided by you

Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information in connection with our services is governed by our Privacy Policy, which is incorporated into these Terms by reference. • You must pay any outstanding fees for services already provided

Severability
